Agreement to these terms
Acceptance of the Terms
These Terms and Conditions form a legally binding agreement between
you and Miami Containers LLC. By accessing our website, requesting a
quotation, accepting an invoice, making payment, placing an order, or
accepting delivery, you acknowledge that you have read, understood,
and agreed to these Terms.
If you are acting for a company, partnership, government agency, or
other organization, you represent that you have authority to bind that
organization to these Terms.
If you do not agree to these Terms, you must not place an order or use
our website or services.
Electronic transactions
Quotations, invoices, order confirmations, electronic communications,
online acceptances, and electronic signatures may be used to create
and document a legally binding transaction.

Eligibility
Authority to Purchase
You must be at least 18 years old and legally capable of entering into
a binding agreement to purchase from Miami Containers LLC.
Business customers are responsible for ensuring that the person placing
the order has the necessary purchasing authority and that all company,
billing, tax, and delivery information supplied is accurate.

Website access
Permitted Use of Our Website
You may use our website only for lawful purposes, including reviewing
products, requesting information, obtaining quotations, and purchasing
products or services.
You must not:
- Use the website for fraudulent, unlawful, or deceptive activity.
- Attempt to gain unauthorized access to accounts, servers, or systems.
- Upload malicious software, scripts, viruses, or harmful code.
- Interfere with the operation, security, or availability of the website.
- Use automated systems to scrape or reproduce website content without permission.
- Impersonate another individual, business, or authorized customer.
- Submit false payment, tax, identity, delivery, or account information.
We may suspend or restrict access where we reasonably believe a user
has violated these Terms or created a security, legal, or operational risk.

Container descriptions
Products and Services
Miami Containers LLC may supply new, one-trip, used, cargo-worthy,
wind and watertight, High Cube, refrigerated, open-side, double-door,
modified, office, workshop, cabin, storage, and specialty containers.
Product availability may vary according to size, condition, inventory,
depot location, modification requirements, transportation availability,
and the customer’s delivery location.
Unless a particular serial-numbered unit is identified in writing,
website photographs are illustrative and may not show the exact
container delivered.
New or One-Trip Containers
These containers generally have minimal previous cargo use but may
still display minor marks resulting from manufacturing, handling,
stacking, transport, or depot storage.
Used Containers
Used containers may display dents, scratches, patches, faded paint,
previous markings, repairs, surface corrosion, and other normal
indications of prior commercial service.
Refrigerated Containers
Refrigerated containers may be sold as operating units, non-operating
insulated units, or according to another stated condition. Electrical
and installation requirements must be independently confirmed.
Modified Containers
Custom features, finishes, measurements, electrical work, doors,
windows, insulation, ventilation, and layouts are governed by the
approved written specification.

Website information
Product Images, Measurements, and Descriptions
We aim to present product information accurately. However, colors,
dimensions, weights, capacities, specifications, availability, and
appearance may vary due to manufacturing tolerances, container age,
previous use, repairs, photography, screen settings, and supplier data.
Measurements described as approximate are not guaranteed exact.
Customers requiring precise measurements or technical specifications
must request written confirmation before ordering.
A typographical, pricing, specification, or inventory error does not
require us to supply a product on incorrect terms. If an error affects
a paid order, we may offer corrected terms or cancel and refund the
affected amount.

Order formation
Quotations, Orders, and Acceptance
A website listing, product page, advertisement, estimate, or informal
communication is an invitation to request a quotation and does not,
by itself, create a binding obligation to supply a product.
Your order becomes binding when Miami Containers LLC has:

Received your acceptance of the stated order terms.

Received and verified cleared payment.

Confirmed product availability and delivery information.
We may decline or cancel an order before dispatch if a product is
unavailable, the price is incorrect, payment cannot be verified,
fraud is suspected, delivery is not reasonably possible, legal
restrictions apply, or information supplied by the customer is incomplete.
If we cancel a paid order before dispatch for a reason not caused by
the customer, we will refund the applicable amount paid for the
cancelled portion.

Order accuracy
Customer Information and Responsibilities
Customers must provide complete and accurate information, including:
- Legal or business name.
- Billing and delivery addresses.
- Telephone number and email address.
- Container size, type, quantity, and condition required.
- Delivery access, placement, and ground-condition information.
- Valid tax-exemption documentation where applicable.
- Modification specifications and intended use.
The customer is responsible for losses, delays, failed deliveries,
additional expenses, or incorrect supply caused by materially inaccurate,
incomplete, or misleading information provided by the customer.

Payment requirements
Prices and Payment
Unless otherwise stated in writing, all prices are listed in United
States Dollars and exclude applicable taxes, shipping charges,
modifications, permits, site work, specialized equipment, and other
additional services.
Available
Bank Transfer
Bank transfer is the currently accepted payment method. Official
payment instructions will appear on the approved invoice.
Unavailable
Credit Cards
Credit card payments are currently unavailable and must not be
attempted unless Miami Containers LLC confirms otherwise in writing.
Payment must be received in full and cleared before the container is
reserved, modified, dispatched, or scheduled for delivery unless
different credit terms are expressly approved in writing.
Customers must use the invoice or order number as the bank-transfer
reference and verify banking details through an official company
communication before transferring funds.
Fraud-prevention warning
Miami Containers LLC is not responsible for funds sent to an
unauthorized account because the customer relied on altered,
fraudulent, intercepted, or unverified payment instructions where
the customer failed to confirm those instructions through an official
contact channel.

Government charges
Sales Tax and Other Charges
Applicable sales tax will be calculated and charged where required by
Florida law or another applicable state or local taxing jurisdiction.
Customers claiming tax-exempt status must provide complete, valid, and
current exemption documentation before the order is processed. We may
decline documentation that is incomplete, expired, inconsistent, or
not applicable to the transaction.
The customer remains responsible for any use tax, permit fee, zoning
charge, inspection fee, duty, assessment, or other government charge
not collected by Miami Containers LLC but lawfully applicable to the
customer’s transaction or use of the product.

Delivery terms
Shipping and Delivery
Standard Shipping Fee
$650 Flat Rate
Standard Delivery Period
5–7 Business Days
Standard eligible orders are subject to a flat-rate shipping charge
of $650 per order.
Standard delivery is completed within a maximum of
5–7 business days after cleared payment, product
availability, delivery details, site access, and order requirements
have been confirmed.
Delivery dates and arrival windows may be affected by weather,
hurricanes, flooding, carrier availability, mechanical issues, road
restrictions, government action, emergencies, safety concerns, or
circumstances beyond reasonable operational control.
If we cannot ship within the stated period, we will provide the options
required by applicable law, which may include approving a revised
delivery period or cancelling the unshipped order for the applicable refund.
The complete Shipping Policy is incorporated into these Terms by reference.

Delivery-site requirements
Access, Unloading, and Placement
The customer must provide safe and legally authorized access for the
delivery vehicle and unloading equipment.
The customer is responsible for ensuring:

Suitable Access
Roads, gates, entrances, bridges, and driveways are wide and strong
enough for a commercial delivery vehicle.

Clearance
The delivery route is free from power lines, branches, roofs,
signs, cables, fences, and overhead or side obstructions.

Stable Ground
The delivery and placement area is firm, level, dry, and capable
of supporting the vehicle and container.

Placement Instructions
The final location and cargo-door direction are identified before
unloading begins.
The driver may refuse to enter, unload, or continue where conditions
appear unsafe, unlawful, inaccessible, unstable, or likely to damage
persons, property, equipment, the container, or the delivery vehicle.
Redelivery, waiting time, storage, specialized equipment, attempted
delivery, or return transportation costs resulting from unsuitable
access or customer-caused failure may be charged separately.

Regulatory approval
Permits, Zoning, and Intended Use
The customer is solely responsible for confirming whether the proposed
delivery, placement, installation, modification, occupancy, connection,
construction, or use requires:
- Planning, zoning, or building approval.
- Homeowners’ association or landlord consent.
- Electrical, plumbing, mechanical, or structural permits.
- Engineering, architectural, environmental, or fire approval.
- Commercial-use, occupancy, health, or safety authorization.
Miami Containers LLC does not guarantee that a product is legally
suitable for a particular property, location, conversion, occupation,
business, or intended use unless expressly stated in a separate signed
professional-services agreement.

Customer examination
Inspection and Acceptance
Customers should inspect the delivered product as soon as reasonably
possible and before loading, painting, cutting, repairing, installing,
relocating, connecting utilities to, or otherwise modifying it.
The inspection should verify:

The correct size, type, condition, and quantity were delivered.
✓
The doors, locks, seals, flooring, roof, and walls can be examined.
✓
Agreed custom modifications have been provided.
✓
Visible transportation damage is documented with photographs.
Material concerns should be reported promptly by email with the order
number, description, and clear photographs. Failure to promptly report
a visible issue may affect our ability to verify whether it existed at
delivery.
Normal cosmetic wear consistent with the stated grade of a used
container does not constitute rejection grounds or nonconformity.

Order cancellation
Cancellations, Returns, and Refunds
Cancellation, return, exchange, and refund eligibility are governed by
our published Return and Refund Policy and any special terms shown on
the quotation, invoice, or custom-order agreement.
Custom-made, modified, cut, painted, insulated, wired, plumbed,
personalized, specially sourced, or otherwise made-to-order products
may be nonreturnable except where required by law or where the product
materially fails to conform to the approved written specification.
An approved refund may be reduced by lawful and disclosed costs such
as transportation, redelivery, recovery, restocking, modification,
storage, repair, or deterioration caused after delivery.
Nothing in these Terms removes a return, cancellation, refund, warranty,
or other remedy that cannot legally be excluded.

Ownership and responsibility
Title and Risk of Loss
Unless the written sales agreement states otherwise, title and risk of
loss transfer according to the applicable delivery terms and Florida’s
laws governing sales of goods.
For a destination delivery arranged by Miami Containers LLC, risk of
loss generally remains with the seller until the product is tendered
at the agreed destination in a manner that enables the customer to take
delivery, subject to the order documents and applicable law.
The customer assumes responsibility for the container after delivery
and must protect it against theft, misuse, vandalism, weather-related
damage, improper installation, unsuitable foundations, unauthorized
modification, and other post-delivery risks.

Product assurances
Express Warranties and Product Condition
Any express warranty applies only when it is stated in the final written
quotation, invoice, product specification, warranty document, or order
confirmation issued by Miami Containers LLC.
Descriptive terms such as “one-trip,” “cargo-worthy,” “wind and
watertight,” “used,” “refurbished,” or “as-is” describe the stated
condition or intended grade and do not create additional warranties
beyond the written description.
An operating refrigerated container may require suitable electrical
supply, professional installation, routine maintenance, environmental
controls, and compliance with manufacturer requirements. Performance
can be affected by power quality, ambient conditions, improper loading,
ventilation, misuse, and maintenance.
Warranty limitation
To the fullest extent permitted by law, products not covered by a
separate express written warranty are supplied in their stated
condition. Any exclusion of implied warranties, including
merchantability or fitness for a particular purpose, applies only
to the extent legally permitted and does not exclude a warranty or
consumer remedy that cannot lawfully be waived.

Warranty exclusions
Conditions Not Covered
Unless a written warranty specifically states otherwise, warranty
coverage does not include problems caused by:
- Normal wear, cosmetic variation, aging, or surface corrosion.
- Improper foundations, uneven ground, settlement, or site movement.
- Customer alteration, welding, cutting, drilling, painting, or repair.
- Improper installation, electrical supply, plumbing, or ventilation.
- Misuse, overloading, neglect, vandalism, accident, or unauthorized access.
- Extreme weather, flooding, fire, hurricanes, or natural disasters.
- Condensation, humidity, or moisture resulting from stored contents or inadequate ventilation.
- Failure to perform recommended inspection, maintenance, or servicing.
- Relocation or handling by a third party after initial delivery.

Available remedies
Remedies for Nonconforming Products
Subject to applicable law and any express warranty, if a delivered
product materially fails to conform to the accepted written order,
Miami Containers LLC may provide an appropriate remedy, which may include:

Inspection
Reviewing photographs, documents, delivery records, or the product
to determine the nature of the reported issue.

Repair
Repairing a qualifying issue where repair is commercially reasonable.
C
Replacement
Replacing a materially nonconforming product where an appropriate
replacement is available.
D
Refund
Refunding the applicable purchase amount after authorized return
or another agreed resolution.
No remedy described here limits a statutory remedy that cannot lawfully
be excluded. A limited remedy will not apply where it fails of its
essential purpose under applicable law.

Allocation of risk
Limitation of Liability
To the fullest extent permitted by law, Miami Containers LLC will not
be liable for indirect, incidental, special, exemplary, punitive, or
consequential damages, including lost profit, lost revenue, lost
production, loss of use, business interruption, substitute storage,
spoilage, or loss of data, arising from a product, transaction,
delivery, website, or service.
To the fullest extent permitted by law, Miami Containers LLC’s total
aggregate liability arising from a particular order will not exceed
the amount actually paid to Miami Containers LLC for the product or
service giving rise to the claim.
These limitations do not apply where prohibited by law or to liability
that cannot lawfully be limited, including liability resulting from
fraud, intentional misconduct, or another legally nonwaivable basis.
A limitation or exclusion will not apply where it is found
unconscionable or where a limited remedy fails of its essential purpose.

Customer protection obligations
Indemnification
To the extent permitted by law, a business customer agrees to defend,
indemnify, and hold harmless Miami Containers LLC and its owners,
personnel, contractors, and service providers from third-party claims,
damages, liabilities, costs, and reasonable legal fees arising from:
- The customer’s unlawful or unauthorized use of a product.
- Incorrect site information or unsafe delivery instructions.
- Post-delivery modification, installation, relocation, or maintenance.
- Failure to obtain legally required permits or approvals.
- Violation of these Terms or applicable law.
- Injury or property damage caused by the customer’s negligence or misconduct.
This section does not require a consumer to indemnify Miami Containers
LLC for the company’s own negligence, breach, or unlawful conduct where
such an obligation would be prohibited or unenforceable.

Unexpected events
Force Majeure
Miami Containers LLC will not be responsible for delay or failure caused
by events outside its reasonable control, including hurricanes, storms,
flooding, fire, natural disasters, transportation interruptions,
equipment failure, labor disputes, shortages, government action,
emergencies, utility failures, war, terrorism, civil unrest, epidemic,
or similar events.
This section does not remove any legally required notice, cancellation,
refund, or other nonwaivable customer right.

Ownership of content
Intellectual Property
The website and its original text, layout, graphics, logos, photographs,
product descriptions, icons, software, and design elements are owned by
or licensed to Miami Containers LLC and are protected by applicable
intellectual-property laws.
You may view and print website content for personal or internal business
purchasing purposes. You may not reproduce, publish, distribute, sell,
modify, scrape, frame, or commercially exploit the content without
prior written permission.

Customer content
Reviews, Feedback, and Submissions
When you voluntarily provide a review, testimonial, photograph, feedback,
or other nonconfidential submission, you grant Miami Containers LLC a
nonexclusive, royalty-free right to use, reproduce, and display it for
lawful business and marketing purposes, subject to applicable privacy law.
You represent that your submission is truthful, based on your genuine
experience, does not violate another person’s rights, and does not contain
unlawful, defamatory, confidential, or malicious content.
Nothing in these Terms prohibits, restricts, penalizes, or waives your
right to provide an honest review or truthful account of your experience.

External services
Third-Party Services and Links
Our website or sales process may involve independent providers such as
banks, payment services, transportation companies, depots, maps, social
networks, hosting providers, or other external platforms.
Third-party services are governed by their own agreements and policies.
Miami Containers LLC is not responsible for the availability, content,
privacy, security, accuracy, or independent acts of a third party except
to the extent liability cannot legally be excluded.

Account protection
Website Accounts and Security
Where customer accounts are available, users are responsible for
maintaining the confidentiality of their login credentials and for
activity conducted through their accounts.
You must notify us promptly if you believe an account, quotation,
invoice, email, or payment instruction has been accessed, altered,
or used without authorization.

Personal information
Privacy
Our collection and use of personal information are governed by the
Miami Containers LLC Privacy Policy, which is incorporated into these
Terms by reference.
By providing information during an enquiry, order, payment, or delivery,
you acknowledge that we may use and disclose it as reasonably necessary
to process the transaction, prevent fraud, arrange delivery, provide
support, and comply with law.

Resolving concerns
Complaints and Informal Dispute Resolution
Customers should first contact Miami Containers LLC and provide the
order number, relevant documents, photographs, and a clear explanation
of the concern.
Before filing a lawsuit, the parties should make a good-faith attempt
to resolve the dispute through direct written communication for at least
30 days after the receiving party receives a detailed written notice,
unless urgent injunctive relief is reasonably necessary or applicable
law requires otherwise.
The notice should describe the relevant facts, requested resolution,
supporting documents, and contact information.

Applicable legal rules
Governing Law and Jurisdiction
These Terms and Conditions and all transactions with Miami Containers
LLC are governed by the laws of the State of Florida and applicable
United States federal law, without regard to conflict-of-law principles.
Subject to any legally required venue or jurisdiction, legal proceedings
arising from these Terms, the website, an order, or a transaction shall
be brought in a state or federal court having jurisdiction in Florida.
Nothing in these Terms deprives a consumer of a mandatory right to bring
a claim in another forum where applicable law does not permit that right
to be waived.

Contract interpretation
Entire Agreement and Order of Precedence
These Terms, the accepted quotation, invoice, order confirmation,
specifications, Shipping Policy, Payment Policy, Sales Tax Policy,
Return and Refund Policy, and Privacy Policy form the agreement between
the parties regarding the transaction.
If documents conflict, the following order generally applies:
- A separately signed written agreement.
- The final accepted quotation or invoice.
- The approved product or modification specification.
- These Terms and Conditions.
- The applicable supporting website policies.
- General website or advertising content.
A customer purchase order or other customer document does not modify
our terms unless Miami Containers LLC expressly accepts the modification
in a signed writing.

Standard contractual provisions
Severability, Waiver, and Assignment
If a provision is found invalid, unlawful, or unenforceable, it will be
enforced to the maximum lawful extent or severed, and the remaining
provisions will continue in effect.
A failure or delay in enforcing a provision is not a waiver of that
provision or any other right.
Customers may not assign or transfer an order or these Terms without
prior written consent. Miami Containers LLC may assign its rights or
obligations as part of a merger, sale, financing, restructuring, or
transfer of the relevant business or assets, subject to applicable law.

Communication methods
Notices
Notices relating to an order may be delivered by email, invoice,
account notification, courier, postal service, or another reasonable
method using the contact information provided by the customer.
The customer is responsible for maintaining accurate email, telephone,
billing, and delivery information.

Future revisions
Changes to These Terms
Miami Containers LLC may update these Terms prospectively to reflect
changes in law, business operations, products, technology, payment
methods, delivery practices, or website functionality.
Updated Terms will be posted with a revised effective date. Changes
will not retroactively alter the material terms of an accepted and paid
order unless agreed by the parties or required by law.
